Item 8.01 Other Events.

On February 3, 2023, Triumph Group, Inc. issued a press release announcing, pursuant to the terms of the Warrant Agreement, dated as of December 19, 2022, between the Company, Computershare Inc., a Delaware corporation, and its affiliate Computershare Trust Company, N.A., as Warrant Agent (the “Warrant Agreement”), that it had undesignated the 8.875% Senior Secured First Lien Notes due June 1, 2024, and the 6.250% Senior Secured Notes due September 15, 2024. Pursuant to the terms of the Warrant Agreement, this redesignation will be effective 20 consecutive Business Days from (and including) February 3, 2023, the date of publication of notice of the press release. The foregoing description is only a summary and is qualified in its entirety by reference to the press release, which is filed as an exhibit to this Form 8-K and incorporated herein by reference.
