Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(a) Resignation of Director. Effective April 4, 2023, Ken Yonika, a member of the Board of Directors of the Registrant, a member and the Chairman of the Audit Committee, a member of the Compensation Committee, and a member of the Nominating and Governance Committee, resigned. The Registrant is not aware of any disagreement Mr. Yonika may have with it on any matter relating to the Registrant’s operations, policies or practices.

Corey Lambrecht will assume the role as the Registrant’s Audit Committee Chairman effective immediately.
