Explanation of Responses:

1. In connection with a share exchange transaction with SmartKem Limited that occurred on February 23, 2021, B Brown Consultants Ltd exchanged all of their SmartKem Limited shares for 20,002 shares of common stock of Parasol Investments Corporation, now known as SmartKem, Inc.

2. The options vest immediately upon grant. The options are subject to forfeiture if the reporting person ceases to provide services to SmartKem, Inc. or any subsidiary. Upon such event, the options will terminate ninety (90) days following such termination or twelve (12) months following such termination if such termination is due to the death or disability of the reporting person.
